Terms of Service

These Terms govern access to Compass, the curriculum planning and coverage workspace operated by CARL Hub Inc.

Acceptance of these Terms

By creating an account, accepting an invitation, opening a district activation link, subscribing, or using Compass, you agree to these Terms of Service and the Compass Privacy Policy. If you do not agree, do not use Compass.

Compass is operated by CARL Hub Inc., a Canadian corporation incorporated in British Columbia and federally registered in Canada. In these Terms, "Compass", "we", "us", and "our" mean CARL Hub Inc. and the Compass product.

If your school, district, or organization has signed a separate Compass order form, service agreement, data processing agreement, or privacy addendum, that agreement controls for the organization workspace where it conflicts with these online Terms.

Who can use Compass

Compass is designed for educators, school staff, district administrators, and other authorized education professionals. You must have legal capacity to enter into these Terms or must use Compass under an authorized institutional arrangement.

  • You may use Compass only for lawful education, planning, administration, and related support purposes.
  • You must provide accurate account information and keep it current.
  • You may not create accounts for students. Student accounts are not available in Compass.
  • If you register with a school email address or join a school or district workspace, you represent that you are authorized to do so and will follow your institution's policies.

Accounts and workspaces

You are responsible for your login credentials and for activity under your account. Notify us promptly at [email protected] if you believe your account or workspace has been accessed without authorization.

Compass supports individual, school, and district workspaces. Workspace owners and administrators may invite users, assign roles, manage seats, review billing status, configure workspace policies, manage shared classes, and access workspace records according to their role and any applicable institution agreement.

You may not sell, rent, share, or transfer your individual account. School or district owners may reassign managed workspace access between authorized staff where the product and agreement allow it.

Compass services

Compass provides curriculum-aligned planning and coverage tools, including class setup, curriculum tracking, plan records, upload or paste scanning, match review, reports, class sharing, workspace administration, subscription management, and related support.

We may add, change, suspend, or remove features as Compass evolves. We try to give reasonable notice for material changes that affect paid access or district workflows. Some features may be labelled beta, preview, pilot, or early access and may change more frequently.

Your content

You retain ownership of lesson plans, notes, curriculum mappings, uploaded materials, pasted text, custom curriculum sources, reports, comments, and other original content you add to Compass. We do not claim ownership of your instructional content.

You grant us a limited, worldwide, non-exclusive license to host, store, copy, display, transmit, process, back up, secure, and otherwise use your content only as needed to provide, maintain, protect, support, and improve Compass and to perform actions you request, including AI-assisted processing where enabled. This license does not include using your content to train AI models.

You are responsible for making sure you have the rights and permissions needed for content you upload, paste, import, publish, or share. Do not upload complete copyrighted works, proprietary district materials, third party assessments, or personal information unless you have authorization and the use complies with law and institutional policy.

Feedback, suggestions, and product ideas you send us may be used to improve Compass without compensation or obligation to you.

AI-assisted and curriculum features

Compass may use AI to extract text from files, suggest plan metadata, rank possible curriculum matches, summarize plans, generate plan ideas, draft family summaries or report comment starters, and assist with custom curriculum setup. These features are optional support tools.

  • We do not use your content or personal information to train AI models, and we engage AI providers through business APIs under terms that do not permit them to use your inputs or outputs to train their models.
  • AI output can be incomplete, inaccurate, biased, or inappropriate for a specific classroom context.
  • You must review, edit, and approve AI output before relying on it or sharing it.
  • Curriculum matching is guidance for planning, not a ministry, district, or curriculum authority endorsement.
  • Compass does not provide legal, medical, psychological, counselling, or specialized education advice.
  • Compass is not a source of Indigenous knowledge and should not be used to generate or validate Indigenous teachings.

Student information

Compass is built for teacher and administrator workflows, not student accounts. Do not enter student names, student records, grades, Individual Education Plans, medical information, behavioural records, parent contact details, or other identifiable student personal information into Compass unless your institution has explicitly authorized that use and all required privacy notices, consents, and safeguards are in place.

If you use Compass through a school or district workspace, your institution remains responsible for deciding whether Compass is approved for any student-related information and for giving staff appropriate instructions.

Acceptable use

When using Compass, you agree not to:

  • violate any law, regulation, contract, school policy, privacy requirement, or third-party right;
  • upload malicious code, attempt unauthorized access, probe systems, bypass access controls, or disrupt service;
  • scrape, harvest, bulk export, or misuse personal information or workspace data;
  • misrepresent your identity, role, affiliation, authority, or payment status;
  • share unlawful, defamatory, hateful, abusive, exploitative, unsafe, or infringing content;
  • use Compass to generate or distribute content that could harm students, families, educators, or communities;
  • reverse engineer Compass except where the law expressly allows it;
  • circumvent plan limits, billing controls, security controls, rate limits, or feature restrictions.

We may investigate suspected violations and may remove content, restrict sharing, suspend access, revoke sessions, notify workspace administrators, or contact authorities where appropriate.

Third-party services and integrations

Compass uses third-party providers for services such as hosting, databases, object storage, email, analytics, observability, AI processing, authentication, payment processing, marketing forms, and support workflows. Examples may include Stripe, Google, OpenAI, Google Gemini or Vertex AI, Resend, Sentry, PostHog, Google Analytics or Tag Manager, Microsoft Clarity on public launch pages, HubSpot, Calendly, DigitalOcean, Railway, Redis, and S3-compatible storage, depending on configuration.

Third-party services may have their own terms and privacy notices. When you connect, authorize, or use a third-party service, you are also responsible for complying with that provider's terms.

Suspension, termination, and export

You may stop using Compass at any time. You may request export or deletion of your account data by contacting [email protected]. Workspace owners may also request district exports or account administration support, subject to role, contract, privacy, and security verification.

We may suspend or terminate access if you violate these Terms, create security or legal risk, fail to pay amounts due, misuse AI-assisted features, or use Compass in a way that could harm the product, other users, or the public. If we terminate paid access for convenience, we will provide reasonable notice and a reasonable opportunity to export data where feasible.

After termination, your right to use Compass ends. Provisions that by their nature should survive termination will survive, including ownership, payment obligations, confidentiality, disclaimers, limitations of liability, dispute terms, and audit or legal retention provisions.

Disclaimers

Compass is provided as-is and as-available. To the maximum extent permitted by law, we disclaim all warranties, whether express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, non-infringement, uninterrupted service, error-free operation, accuracy, and availability.

Compass does not guarantee curriculum compliance, coverage completion, ministry approval, assessment accuracy, suitability for a particular student or classroom, or that AI-assisted output will be correct. Educators and institutions remain responsible for professional judgment, classroom decisions, family communications, and compliance with education requirements.

Limitation of liability and indemnity

To the maximum extent permitted by law, CARL Hub Inc. and its affiliates, directors, officers, employees, contractors, and agents will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenue, goodwill, use, data, or business opportunities.

To the maximum extent permitted by law, our total liability for any claim relating to Compass or these Terms will not exceed the greater of the amounts you paid to Compass for the affected service in the 12 months before the event giving rise to the claim or CA$100.

You agree to indemnify and hold harmless CARL Hub Inc. from claims, damages, losses, liabilities, costs, and expenses, including reasonable legal fees, arising from your content, your use of Compass, your violation of these Terms, your violation of law, or your violation of third-party rights.

Some jurisdictions do not allow certain limitations. In those places, the limitations apply only to the extent permitted by law.

Disputes and governing law

Before starting a formal proceeding, you agree to contact [email protected] and give us a reasonable opportunity to resolve the issue informally. We will try to resolve disputes in good faith.

These Terms are governed by the laws of British Columbia and the federal laws of Canada applicable there, without regard to conflict of law principles. For court proceedings not subject to a mandatory or valid alternative dispute process, you consent to the courts located in British Columbia, Canada.

Where permitted by law, disputes may be resolved by binding arbitration administered by the ADR Institute of Canada under its Arbitration Rules, with the seat in British Columbia and proceedings in English, unless both parties agree otherwise. Either party may seek injunctive relief for intellectual property misuse, unauthorized access, or confidentiality breaches. Any class action waiver or arbitration requirement applies only where legally enforceable.

Changes and contact

We may update these Terms from time to time. Minor changes take effect when posted with a new effective date. For material changes, we will provide notice by email, in-app notice, public website notice, or another reasonable method before the change takes effect where required.
